Marketing Services Agreement
This agreement is between Socio (the marketing service) and the contractor identified below.
1. Services
Socio provides marketing services such as demand research, campaign setup, content, follow-up support, and reporting. Socio does not perform construction work.
2. Flat fees
All prices are fixed monthly, one-time, or fixed per verified deposit as stated in the selected order. No fee is calculated as a percentage of a construction contract.
3. Invoice trigger
When an order uses a deposit-cleared fee, Socio invoices only after the contractor provides written confirmation that the customer deposit has cleared the contractor’s bank account, including a deposit screenshot or bank statement excerpt. Socio never receives or controls customer funds.
4. Cancellation
Service is month-to-month unless an order says otherwise. Either party may cancel before the next billing period. There is no long-term lock-in. Earned fees remain due.
5. Construction boundary
Socio does not solicit, negotiate, or obtain home improvement contracts. The contractor is the sole party to the construction contract. The contractor controls pricing, estimates, customer acceptance, performance, licensing, insurance, and warranties.
6. Governing law
This agreement is governed by the laws of the State of New York. Venue for any dispute is Kings County or New York County, at Socio’s election.
7. Limitation
Socio’s total liability under this agreement is limited to fees paid by the contractor in the preceding three months. Socio is not liable for lost profits, lost contracts, or consequential damages.
